Financial Services Guide

This Financial Services Guide (FSG) is an important document. It is designed to assist you in deciding whether to use any of the financial services and products distributed by Montgomery Investment Management Pty Ltd ABN 73 139 161 701 (MIM or Montgomery).

As an Australian Financial Services Licensee (AFSL No. 354 564), we are required to provide our retail investors with this FSG.

This FSG provides you with important information about:

  • The types of services and products we can distribute to you
     
  • How we (and other relevant persons) are remunerated for these services and products
     
  • Our external complaints handling procedures and how you can utilise them
     
  • How you can contact us and the various responsible entities, Fundhost Limited, Perpetual Limited and One Managed Investment Funds Limited.


This FSG is designed to help you understand our services and the products we distribute before you invest in them.

Montgomery distributes a diverse suite of funds in conjunction with our partner managers. Montgomery undertakes distribution on behalf of our partner managers by promoting and marketing their investment management capabilities and managed funds.

Fundhost Limited (ABN 69 092 517 087, AFSL 233045) (Fundhost) acts as responsible entity for The Montgomery Fund, Montgomery Small Companies Fund, Montgomery [Private Fund], Polen Capital Global Growth Fund and the Polen Capital Global Small and Mid-Cap Fund and provide services including compliance, administration, and reporting services.

One Managed Investment Funds Limited (ACN 117 400 987, AFSL 297042) (OMIFL) acts as the Responsible Entity for the Aura Core Income Fund.

The Trust Company Ltd (ABN 45 003 278 831, AFSL 235150) (Perpetual) acts as the Responsible Entity for the Australian Eagle Trust (AE Long Short Fund).

You will receive other disclosure documents if you invest in these products and services. You should read these documents carefully and consult with your licensed financial adviser if required prior to investing.

INFORMATION ABOUT US

Any financial products are distributed by us or our representatives, including authorised representatives.

We are part of Montgomery, an investment management group based in Sydney, Australia. Montgomery was formed in 2010.

We do not act as a representative of any other licensee in relation to the services we provide you.

OUR FINANCIAL SERVICES AND FINANCIAL PRODUCTS

We are authorised to provide the following financial services with respect to the following financial products:

Giving general advice and dealing in, amongst other things:

  • Securities
  • Derivatives
  • Foreign exchange contracts
  • Managed investment schemes (excluding investor directed portfolio services) including The Montgomery Fund, Montgomery Small Companies Fund, The Montgomery [Private] Fund, the Polen Capital Global Growth Fund and the Polen Capital Global Small and Mid-Cap Fund, AE Long Short Fund, Aura Core Income Fund and Aura Private Credit Income Fund. 


We are authorised to provide financial services to retail and wholesale clients.

Montgomery has appointed Brett Craig to provide general advice to retail and wholesale investors as an authorised representative of the licence. His authorised representative number is 001298683.

PRODUCT DISCLOSURE STATEMENT (PDS)

Before you can invest in any retail financial product, we are required to provide you with a Product Disclosure Statement (PDS). The PDS contains important information regarding the features, benefits, risks and fees applicable to an investment in that financial product and should be read carefully to enable you to make an informed decision about whether to invest in the financial product.

STATEMENT OF ADVICE (SOA)

A Statement of Advice (SOA) will normally be given to you when you are provided with any personal advice, which takes into account your objectives, financial situation and needs. We do not provide personal financial product advice. Therefore, we will not provide you with an SOA.

An intermediary (such as a financial planner, financial adviser, stockbroker or dealer group) may provide you with an SOA.

RECORD KEEPING

The relevant Responsible Entity for each Fund will seek to ensure that comprehensive and accurate records of all transactions and investments undertaken, and documentation executed, are properly maintained for the relevant fund.

REMUNERATION OR OTHER BENEFITS RECEIVED BY MONTGOMERY INVESTMENT MANAGEMENT

If you invest in a financial product we distribute, we will receive remuneration in relation to your investment in the financial product. This remuneration may include management fees, performance fees and distribution fees. Withdrawal fees and transaction fees may apply. We may also be entitled to recover any expenses incurred in providing our services. Any remuneration and expense recoveries we are entitled to receive are set out in the relevant PDS for each Fund.

Montgomery as authorised distributor of the Aura Core Income Fund (ARSN 658 462 652), is entitled to earn distribution fees paid by the Investment Manager and, subject to certain conditions being met, has been and may continue to be issued equity in the Investment Manager.

We do not receive any fees, nor do we charge you additional fees, for providing financial product advice. Our employees who provide general financial product advice do not receive specific payments or commissions for the giving of that advice. 

These employees and our directors receive salaries, bonuses and other benefits from us. 

Bonus payments and other benefits are discretionary and based on achievement of predetermined objectives.

REMUNERATION OR BENEFITS PAID TO OTHER PARTIES

Where you have been referred via a third-party investor-directed portfolio services (IDPS) platform, a rebate may be paid to that IDPS platform provider.

Financial advisers and intermediaries may also receive fees from you and typically, this will be disclosed in their SOA. No commission will be paid by us to financial advisors in respect of any retail investor. Your adviser is also required to set out the remuneration they receive in their FSG and SOA which they must give to you.

Australian Eagle Asset Management as sub investment manager of The Montgomery Fund and Montgomery [Private] Fund, and investment manager of the Australian Eagle Trust, will receive remuneration in the form of management fees and performance fees, as specified in the PDS.

Montgomery Lucent Investment Management Pty Ltd as investment manager for the Montgomery Small Companies Fund, will receive remuneration in the form of management fees and performance fees, as specified in the PDS.

Polen Capital as sub investment manager of Polen Global Growth Fund and the Polen Small and Mid-Cap Fund, will receive remuneration in the form of management and performance fees, as specified in the PDS. 

Aura Credit Holdings Pty Ltd as investment manager of the Aura Core Income Fund and Aura Private Credit Income Fund, will receive remuneration in the form of management and performance fees, as specified in the PDS. 

Brett Craig, authorised representative of the Montgomery licence, is a director, portfolio manager, and significant shareholder of Aura Credit Holdings Pty Limited (ACN 656 261 200) (ACH), the Investment Manager of the Aura Private Credit Income Fund [name change effective 2/7/24] and the Aura Core Income Fund.  Brett Craig is a representative of, and remunerated by, ACH, and as a significant shareholder he, or interests associated with him, may receive dividends from ACH as determined by ACH.

The relevant Responsible Entity will be entitled to receive fees and recover Fund related expenses out of the assets of the relevant Fund, as outlined in the PDS for that Fund. The relevant Responsible Entity will not be separately remunerated by you.

COMPENSATION ARRANGEMENTS

Montgomery has professional indemnity insurance cover in place in respect of financial services we provide. This insurance covers claims in relation to the conduct of our past and present representatives. These arrangements comply with the requirements of section 912B of the Corporations Act 2001.

DISCLOSURE OF RELEVANT CONFLICTS OF INTEREST

We do not have any relationships or associations which might influence us in providing you with our financial products and services.

PRIVACY

Your right to privacy is important to Montgomery. A statement explaining your privacy rights and our rights and obligations in relation to your personal information is contained in the PDS for each of the financial products. We also have a privacy policy which you can access here.

COMPLAINTS HANDLING

If an investor has a complaint, they can contact the Responsible Entity for the relevant Fund, or Montgomery during business hours.
